Open source The stake is that the largest chip designer in the world has just taken on multi year fixed obligations larger than its own trailing annual revenue in order to secure a component it does not make. We assess with moderate confidence that memory, not accelerator demand, is now the binding constraint on Nvidia's earnings trajectory, and that the market spent the week reading the revenue line while the risk moved into the balance sheet.

The quarter the numbers were supposed to describe

On its own terms the print was strong and the strength was broad. Revenue of $96.2 billion beat a consensus near $92.1 billion by 4.5 percent, non-GAAP earnings of $2.22 per share beat $2.09 by more than 6 percent, and the $108.0 billion guide landed roughly $4 billion above where the street had modelled it.5 Pepperstone 2026-08-26 Revenue of $96.2 billion beat consensus of $92.1 billion by 4.5 percent and EPS of $2.22 beat $2.09 by over 6 percent; Q3 guidance of $108.0 billion above a street estimate near $104 billion; shares up roughly 4 to 5 percent after hours, the strongest reaction to an Nvidia print in about a year; CFO commentary implying next fiscal year growth near 70 percent against models near 44 percent; supply tight with multi year component commitments secured for Vera Rubin; Edge Computing softening as memory prices climbed; guidance assumes zero China Data Center compute revenue. Two details qualify the celebration. First, the beat is shrinking. REX Shares counts this as the fourteenth consecutive quarter of exceeding the company's own guidance, but the margin of that beat has compressed from 22.8 percent in the equivalent quarter of fiscal 2024 to 5.7 percent now.6 REX Shares 2026-08-27 Revenue of $96.22 billion beat the company guidance midpoint by 5.7 percent; Data Center $89.0 billion at 92 percent of total revenue; Q3 guidance of $108.0 billion is 4.0 percent above a $103.8 billion street consensus and implies $11.8 billion of sequential growth; fourteenth consecutive quarter of beating its own guidance with the beat compressing from 22.8 percent in Q2 FY24 to 5.7 percent; Microsoft, Alphabet, Amazon and Meta spent a combined $166.0 billion on capital expenditure in Q2 2026, up 87 percent year over year. Open source That is a fact about analyst modelling as much as about Nvidia, and it means the surprise cushion that has carried the stock through several quarters is thinner than it was. Second, the guidance assumes no Data Center compute revenue from China at all, with Hopper shipments to China already below 1 percent of Data Center revenue in the quarter.1 Nvidia SEC Form 8-K, Q2 FY2027 CFO Commentary 2026-08-26 Q2 FY27 revenue of $96.2 billion for the quarter ended 26 July 2026, up 106 percent year over year; Data Center revenue of $89.0 billion up 117 percent; gross margin 75.0 percent; hyperscale $48.7 billion and AI clouds, industrial and enterprise $40.3 billion up 138 percent; Q3 guidance of $108.0 billion with 74.0 percent gross margin; nearly $26.0 billion returned to shareholders; inventory $31.6 billion up from $25.8 billion; total supply commitments $279 billion up from $119 billion, primarily memory procurement; China Hopper Data Center shipments under 1 percent and no China Data Center revenue in the Q3 outlook. The footnote that carries the thesis

The supply commitment disclosure is the part of this filing that changes how the next two years should be read. The total moved from $119 billion to $279 billion in a single quarter, a jump the company attributes primarily to memory procurement.1 Nvidia SEC Form 8-K, Q2 FY2027 CFO Commentary 2026-08-26 Q2 FY27 revenue of $96.2 billion for the quarter ended 26 July 2026, up 106 percent year over year; Data Center revenue of $89.0 billion up 117 percent; gross margin 75.0 percent; hyperscale $48.7 billion and AI clouds, industrial and enterprise $40.3 billion up 138 percent; Q3 guidance of $108.0 billion with 74.0 percent gross margin; nearly $26.0 billion returned to shareholders; inventory $31.6 billion up from $25.8 billion; total supply commitments $279 billion up from $119 billion, primarily memory procurement; China Hopper Data Center shipments under 1 percent and no China Data Center revenue in the Q3 outlook. Management has already said what that costs. Gross margin held at 75.0 percent this quarter, but the Q3 guide is 74.0 percent, and Nvidia has pointed toward the low 70s as memory prices flow through, with TrendForce citing a trough of 71 to 72 percent in the fourth quarter.1 Nvidia SEC Form 8-K, Q2 FY2027 CFO Commentary 2026-08-26 Q2 FY27 revenue of $96.2 billion for the quarter ended 26 July 2026, up 106 percent year over year; Data Center revenue of $89.0 billion up 117 percent; gross margin 75.0 percent; hyperscale $48.7 billion and AI clouds, industrial and enterprise $40.3 billion up 138 percent; Q3 guidance of $108.0 billion with 74.0 percent gross margin; nearly $26.0 billion returned to shareholders; inventory $31.6 billion up from $25.8 billion; total supply commitments $279 billion up from $119 billion, primarily memory procurement; China Hopper Data Center shipments under 1 percent and no China Data Center revenue in the Q3 outlook. CFO Colette Kress indicated the memory supply and demand gap is expected to persist through at least fiscal 2028, which is precisely the period the commitments cover.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. The engineering response arrived alongside the financial one. Nvidia is pushing a custom memory design, NVHBM, that embeds the memory controller into the HBM base die rather than the accelerator, which TrendForce reports delivers up to 30 percent more bandwidth than standard HBM4E, cuts HBM power by 15 percent, and frees up to 25 percent more area on the compute die.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. Open source That is a company trying to buy its way out of a commodity dependency with architecture. It also deepens the dependency in the near term, because a custom part narrows the set of vendors who can supply it.

Who gains and who loses

The clearest gainers are the memory makers. SK hynix, Samsung and Micron are the qualified HBM suppliers into Nvidia platforms, and the Motley Fool assesses that SK Hynix and Micron will capture the bulk of the spend.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. Open source A three year purchase schedule from the single largest buyer converts what has historically been the most cyclical business in semiconductors into something closer to contracted revenue, which is a valuation regime change for those companies rather than a good quarter. Amazon's Annapurna Labs also gains: TrendForce identifies it as an early NVHBM adopter for Trainium4, meaning a competitor's in house silicon program rides Nvidia's memory engineering.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. The losers are more diffuse. Every buyer of memory who is not Nvidia now competes for supply against a party that has pre-committed $279 billion, and consumer devices are the first to feel it.5 Pepperstone 2026-08-26 Revenue of $96.2 billion beat consensus of $92.1 billion by 4.5 percent and EPS of $2.22 beat $2.09 by over 6 percent; Q3 guidance of $108.0 billion above a street estimate near $104 billion; shares up roughly 4 to 5 percent after hours, the strongest reaction to an Nvidia print in about a year; CFO commentary implying next fiscal year growth near 70 percent against models near 44 percent; supply tight with multi year component commitments secured for Vera Rubin; Edge Computing softening as memory prices climbed; guidance assumes zero China Data Center compute revenue. Open source Nvidia's own shareholders absorb the margin compression, and holders who underwrote the stock on a 75 percent gross margin are repricing to something in the low 70s.4 The Motley Fool 2026-08-29 The $279 billion of commitments spread across three fiscal years at $92 billion, $87 billion and $88 billion, up from $119 billion disclosed three months earlier; management expects gross margin to fall from 75 percent toward the low 70 percent range as memory costs rise; SK Hynix and Micron Technology assessed as capturing the bulk of the spend given qualified HBM. Open source Smaller accelerator startups lose the most in relative terms: they cannot sign obligations of this size, and HBM allocation, not design talent, becomes the gate. The four largest cloud buyers, who spent a combined $166.0 billion on capital expenditure in the second calendar quarter, gain delivery certainty in exchange for continuing to fund the cycle.6 REX Shares 2026-08-27 Revenue of $96.22 billion beat the company guidance midpoint by 5.7 percent; Data Center $89.0 billion at 92 percent of total revenue; Q3 guidance of $108.0 billion is 4.0 percent above a $103.8 billion street consensus and implies $11.8 billion of sequential growth; fourteenth consecutive quarter of beating its own guidance with the beat compressing from 22.8 percent in Q2 FY24 to 5.7 percent; Microsoft, Alphabet, Amazon and Meta spent a combined $166.0 billion on capital expenditure in Q2 2026, up 87 percent year over year. The counter-case

The strongest argument against our reading is that a purchase commitment on this scale is a demand signal, not a risk. Nvidia would not schedule $88 billion of components into fiscal 2029 without customer forecasts behind it, and CFO commentary relayed by Pepperstone points to next fiscal year revenue growth near 70 percent against analyst models near 44 percent.5 Pepperstone 2026-08-26 Revenue of $96.2 billion beat consensus of $92.1 billion by 4.5 percent and EPS of $2.22 beat $2.09 by over 6 percent; Q3 guidance of $108.0 billion above a street estimate near $104 billion; shares up roughly 4 to 5 percent after hours, the strongest reaction to an Nvidia print in about a year; CFO commentary implying next fiscal year growth near 70 percent against models near 44 percent; supply tight with multi year component commitments secured for Vera Rubin; Edge Computing softening as memory prices climbed; guidance assumes zero China Data Center compute revenue. Open source If that holds, the commitments are simply working capital for a business doubling again, margin dips a few points, and absolute gross profit rises regardless. There is precedent for reading Nvidia's forward commitments as prescient rather than exposed. It is also worth stating plainly that the fiscal year split of the $279 billion comes from secondary analysis of the filing rather than from the press release itself, and the sharpest margin figure, the 71 to 72 percent trough, is single sourced.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. Open source

For our assessment to be wrong, three things need to be true together: hyperscaler capital expenditure keeps compounding rather than flattening, memory pricing peaks inside the commitment window so the contracts are struck near the top rather than the bottom, and China stays excluded so no additional volume arrives to strain an already tight supply chain. The first is currently true.6 REX Shares 2026-08-27 Revenue of $96.22 billion beat the company guidance midpoint by 5.7 percent; Data Center $89.0 billion at 92 percent of total revenue; Q3 guidance of $108.0 billion is 4.0 percent above a $103.8 billion street consensus and implies $11.8 billion of sequential growth; fourteenth consecutive quarter of beating its own guidance with the beat compressing from 22.8 percent in Q2 FY24 to 5.7 percent; Microsoft, Alphabet, Amazon and Meta spent a combined $166.0 billion on capital expenditure in Q2 2026, up 87 percent year over year. Open source The second is a forecast about a commodity cycle, and the third is a policy variable outside the company's control.

What to watch

  • The Q4 gross margin trough. If reported gross margin lands at or above 72 percent when Nvidia reports its fourth quarter, the memory cost pass through is being managed. A print below 71 percent means contracted memory is repricing the business faster than guidance admitted.3 TrendForce 2026-08-27 Supply commitments of $279 billion split as $92 billion for the remainder of fiscal 2027, $87 billion for fiscal 2028 and $88 billion for fiscal 2029; gross margin projected near 74 percent in Q3 and bottoming at 71 to 72 percent in Q4; NVHBM embeds the memory controller in the HBM base die for up to 30 percent more bandwidth than HBM4E, 15 percent lower HBM power and up to 25 percent more compute die area; Samsung and SK hynix as suppliers; Amazon Annapurna Labs as an early NVHBM adopter for Trainium4; CFO Colette Kress on a memory supply and demand gap persisting through at least fiscal 2028. • Whether supply commitments keep climbing. The line moved from $119 billion to $279 billion in one quarter.1 Nvidia SEC Form 8-K, Q2 FY2027 CFO Commentary 2026-08-26 Q2 FY27 revenue of $96.2 billion for the quarter ended 26 July 2026, up 106 percent year over year; Data Center revenue of $89.0 billion up 117 percent; gross margin 75.0 percent; hyperscale $48.7 billion and AI clouds, industrial and enterprise $40.3 billion up 138 percent; Q3 guidance of $108.0 billion with 74.0 percent gross margin; nearly $26.0 billion returned to shareholders; inventory $31.6 billion up from $25.8 billion; total supply commitments $279 billion up from $119 billion, primarily memory procurement; China Hopper Data Center shipments under 1 percent and no China Data Center revenue in the Q3 outlook.
