A draft of Anthropic's confidential IPO prospectus, reviewed by Reuters and reported on 29 September, shows the company committed to at least 518 billion dollars of cloud, compute and infrastructure spending over roughly a decade, about 80 percent of it non cancellable or payable regardless of usage.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source Against that, 2025 revenue was 4.6 billion dollars, the operating loss 8.06 billion and cash at year end 20.28 billion, and the company is reported to be targeting a valuation above 2 trillion dollars.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source The filing is a bet that demand for compute will keep outrunning supply, written into contracts that cannot be unwound. We assess with high confidence that the prospectus makes Anthropic the clearest public test of whether frontier AI revenue can grow into its fixed obligations, and with moderate confidence that the listing will not happen before the November midterms.

What the numbers actually say

The headline loss needs unpacking. The net loss for 2025 was 42 billion dollars, but about 34 billion of it was a non operating accounting charge tied to the estimated value of financing that could convert into shares.3 The Next Web 2026-09-29 About 34 billion of the 42 billion net loss was a non operating charge; operating expenses 12.65 billion; 261 pages, about 80 on risk; co-founders 50.1 percent of votes via Founder LLC; May valuation 965 billion; Q2 2026 revenue 11.5 billion per CNBC. Open source The operating loss, the better measure of the business, was 8.06 billion dollars, up from 2.98 billion in 2024, on operating expenses of 12.65 billion.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source 3 The Next Web 2026-09-29 About 34 billion of the 42 billion net loss was a non operating charge; operating expenses 12.65 billion; 261 pages, about 80 on risk; co-founders 50.1 percent of votes via Founder LLC; May valuation 965 billion; Q2 2026 revenue 11.5 billion per CNBC. Open source Compute and infrastructure costs were 7.33 billion, about three times the 2024 figure.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. The 2025 figures are also stale for a company growing this fast. Revenue rose about twelvefold in 2025, and The Next Web, citing CNBC, puts second quarter 2026 revenue at 11.5 billion dollars, which is already more than double all of 2025.3 The Next Web 2026-09-29 About 34 billion of the 42 billion net loss was a non operating charge; operating expenses 12.65 billion; 261 pages, about 80 on risk; co-founders 50.1 percent of votes via Founder LLC; May valuation 965 billion; Q2 2026 revenue 11.5 billion per CNBC. Open source In August, the Financial Times reported investors expected annual revenue of 100 to 120 billion dollars by the end of 2026.4 Mezha 2026-08-13 Investors expected an October 2026 listing at 2 trillion dollars or more; revenue expected at 100 to 120 billion dollars by end 2026; June SEC filing began a quiet period. Open source Those are investor expectations, not company guidance.

Concentration is the risk the numbers hide. Two unnamed customers accounted for nearly a quarter of 2025 revenue, and many large customers are not on long term contracts.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source Fixed obligations on one side and cancellable revenue on the other is the shape of the whole filing.

Who Anthropic owes

The commitments name six counterparties. Google holds at least 111.1 billion dollars over seven to ten years, Amazon 110 billion, and Microsoft 31.4 billion.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source The largest single block is roughly 161.2 billion dollars of largely non cancellable equipment leases linked to Broadcom.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source The Musk linked SpaceXAI arrangement covers up to 84.5 billion dollars of Nvidia based capacity through 2029 but is largely cancellable on 90 days notice, and AMD has committed to buy up to 5 billion dollars of Anthropic stock while supplying compute expected to exceed 20 billion.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source

The structure shows a deliberate shift. Reuters reports Anthropic moving from a cloud only model toward dedicated data centres and directly leased chips, which is what the Broadcom leases represent.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source It also flags a structural tension: Amazon, Google and Microsoft are simultaneously investors, distributors, suppliers and competing model developers.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Who gains and who loses

The cloud providers gain the most certainty. Roughly 250 billion dollars of contracted demand across Google, Amazon and Microsoft, most of it non cancellable, underwrites their own data centre spending.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source Broadcom gains a custom silicon customer at a scale that justifies its own financing.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Public investors gain access to a company that has been private through its fastest growth, but on governance terms that limit their say. Seven co-founders would hold 50.1 percent of votes through a new Founder LLC.3 The Next Web 2026-09-29 About 34 billion of the 42 billion net loss was a non operating charge; operating expenses 12.65 billion; 261 pages, about 80 on risk; co-founders 50.1 percent of votes via Founder LLC; May valuation 965 billion; Q2 2026 revenue 11.5 billion per CNBC. Open source About 80 of the filing's 261 pages are risk factors.3 The Next Web 2026-09-29 About 34 billion of the 42 billion net loss was a non operating charge; operating expenses 12.65 billion; 261 pages, about 80 on risk; co-founders 50.1 percent of votes via Founder LLC; May valuation 965 billion; Q2 2026 revenue 11.5 billion per CNBC. The loser, if demand disappoints, is Anthropic's balance sheet. A company with about 20 billion dollars of cash and roughly 415 billion dollars of obligations it cannot cancel has no cushion against a sustained revenue miss.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source The SpaceXAI arrangement is the exception, and its 90 day exit is the one real hedge in the stack.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. The counter case

The thesis that the obligations are a risk could be wrong in the most straightforward way: if revenue tracks the investor expectations reported in August, 518 billion dollars over ten years is about 52 billion a year against a business that would already be generating more than double that.4 Mezha 2026-08-13 Investors expected an October 2026 listing at 2 trillion dollars or more; revenue expected at 100 to 120 billion dollars by end 2026; June SEC filing began a quiet period. Open source On that reading the commitments are not a bet but a supply contract, and the real risk is having too little compute rather than too much. The filing itself says demand will be limited principally by the availability of compute.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source The assessment above holds only if growth slows sharply, which nothing in the reported numbers yet shows.

What to watch

  • Public flip of the S-1. Anthropic filed confidentially in June.2 Business Day (Reuters) 2026-09-29 At least 518 billion dollars over a decade; about 80 percent non cancellable; Google 111.1 billion; Amazon 110 billion; Microsoft 31.4 billion; Broadcom leases about 161.2 billion; SpaceXAI up to 84.5 billion, cancellable on 90 days notice; AMD to buy up to 5 billion of stock and supply over 20 billion of compute. Open source A public filing would start the formal clock; Reuters sources expect the listing after the November midterms.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source No public filing by mid November would mean another delay.
  • Customer concentration disclosure. If the public filing shows the two largest customers above a quarter of revenue, concentration is rising, not falling.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source
  • Valuation at pricing. A range set below 2 trillion dollars would show public investors discounting the obligations that private investors accepted.1 Fortune 2026-09-29 2025 revenue 4.6 billion dollars; net loss 42 billion; operating loss 8.06 billion from 2.98 billion; compute 7.33 billion; 518 billion dollars committed; cash 20.28 billion; two customers near a quarter of revenue; target above 2 trillion; listing possibly after November midterms. Open source
  • Price cuts on the product line. Aggressive list price reductions before listing would point to volume being bought with margin.

What happened next (updated Oct 13, 2026)

In the coverage reviewed through 13 October, no public prospectus had been filed and no pricing range set. On 7 October Anthropic launched Haiku 5.5 at one tenth of its predecessor's short prompt price and halved Sonnet 5.5 cache read prices, a cut to list prices made while the company prepares to sell shares on the strength of revenue growth.5 Let's Data Science 2026-10-07 Haiku 5.5 released 7 Oct 2026 at 0.10 and 0.50 dollars per million tokens versus 1 and 5 for Haiku 4.5; Sonnet 5.5 cache reads cut to 0.10 dollars.
